Legal Assistant - In House *NEW*
Our esteemed client is seeking an experienced and highly organized Legal Assistant / Paralegal to provide legal, administrative, and operational support to its EVP, General Counsel within a sophisticated energy-sector environment. This role requires excellent judgment, discretion, and attention to detail, together with the ability to manage competing deadlines, coordinate with internal and external stakeholders, and prepare accurate first drafts of corporate, transactional, and routine regulatory documentation with minimal supervision.
Key Duties & Responsibilities:
• Support the EVP, General Counsel’s day-to-day legal practice management by managing corporate and legal files, setting priorities, tracking tasks, and managing follow-ups and deadlines;
• Prepare, format, proofread, and organize correspondence, agreements, reports, summaries, and presentations using Word, Excel, and PowerPoint for review;
• Maintain well-organized physical and electronic files, including document naming conventions and version control;
• Assist with corporate and commercial transactions, including acquisitions, financings, joint ventures, procurement/supply arrangements, and third-party service agreements by preparing closing agendas, coordinating execution packages, and tracking deliverables;
• Coordinate with legal, finance, operations, clients, and third parties to support transaction timelines and closings, including meeting logistics and document circulation;
• Track contract milestones, key dates, payment obligations, renewals, and terminations, and prepare reminders and status summaries;
• Prepare corporate documents, including resolutions and directors’/shareholders’ documentation, and maintain corporate minute books and legal entity records, as directed;
• Prepare and coordinate routine filings and supporting documentation with the Alberta Corporate Registry and other regulatory authorities, as directed;
• Draft and coordinate professional communications with clients, service providers, and internal stakeholders, while acting as a primary point of contact to facilitate timely responses;
• Conduct legal and corporate searches/research, as requested, and prepare clear research summaries and responses to information requests;
• Manage scheduling and meeting coordination, including Microsoft Teams meetings, travel arrangements (as applicable), and general administrative support such as scanning, copying, and document assembly;
• Handle all information with a high degree of confidentiality and professionalism while supporting the EVP, General Counsel and business teams; and
• Perform other administrative duties as required.
Qualifications & Experience:
• Paralegal diploma, post-secondary education in legal studies, or equivalent relevant legal experience;
• 5+ years of experience supporting a lawyer or professional services practice, preferably in a corporate/commercial environment;
• Strong organizational skills with the ability to manage multiple priorities, maintain accurate records, and meet deadlines;
• Excellent written and verbal communication skills, exceptional attention to detail, and sound professional judgment;
• High proficiency with Microsoft Office, Microsoft Teams, and electronic signature/agreement management platforms such as DocuSign; and
• Demonstrated discretion and commitment to confidentiality.
Preferred Skillset:
• Experience supporting corporate/commercial matters, including transaction coordination and closing support;
• Familiarity with commercial contract terms and the ability to prepare first drafts and markups of agreements, amendments, renewals, and related documents for review;
• Experience with corporate records maintenance and Alberta Corporate Registry filings, or similar jurisdictional registries, would be considered an asset;
• Experience in the energy sector, including oil & gas and/or renewables/clean energy, together with related regulatory/compliance reporting;
• CORES certification, with Level III considered an asset; and
• Litigation support experience would also be considered an asset.
