Our client is a well known and highly regarded Calgary based law firm who is looking for a Corporate and Securities Paralegal to join their team.  
Acting effectively both on independent work and as a trusted part of various deal teams, the Corporate and Securities Paralegal is responsible for assisting the business law group's corporate and securities work. This is done by acting as a subject matter expert for the business law group in regard to corporate minute book maintenance and SEDAR and SEDI filings.  This role will report to the Business Law Business Unit Leaders


Duties and Responsibilities:

In accordance with the Management and Business Law policies of our client, the Securities Paralegal has the responsibility to complete the following duties under the guidance and oversight of the lawyers in the Business Law Group:

  • Preparing drafts of various documents including reports, minutes, resolutions, articles of incorporation, articles of amendment, by-laws and other related materials;
  • Extensive use of the System for Electronic Document Analysis and Retrieval ("SEDAR") at the request of lawyers and clients of the firm, including acting as the Firm's subject matter expert and primary administrator of SEDAR filings;
  • Extensive use of the System for Electronic Disclosure by Insiders ("SEDI") at the request of lawyers and clients of the firm, including acting as the Firm's subject matter expert and primary administrator of SEDI filings.
  • Coaching, mentoring, and training junior members of the administrative team in regard to corporate minute book maintenance, SEDAR and SEDI filings;
  • Disseminating news releases;
  • Requesting and obtaining ISIN and CUSIP numbers from the Canadian Depository for Securities;
  • Preparing certain correspondence to the Toronto Stock Exchange and the TSX VentureExchange;
  • Assisting in the preparation and filing of certain continuous disclosure documents;
  • Assisting in the preparation and filing of materials for prospectus offerings and brokered and non-brokered private placement financings as required under NI 41-101, NI 45-106 and TSX/TSXVpolicies;
  • Conducting searches of public company information;
  • Liaising with clients, lawyers and regulators to obtain information and take instruction, and reporting on status of matters;
  • Involvement in broader Firm initiatives such as Business Law software testing and implementation;
  • Provides mentorship and training for junior team members;
  • Liaising with the Firm's Corporate Services department in respect to minute book maintenance and updating corporate precedents; and
  • Other duties and responsibilities as required.

Education & Qualifications:

  • Minimum 5 years' experience as a Securities Legal Assistant;
  • Comprehensive knowledge of SEDAR and SEDI;
  • Advanced legal software skills (MS Office, Closing Folders, DMS, etc.);
  • CORES certification an asset; and
  • Ability to respond to urgent client requests outside of normal business hours and ability to work remotely after hours as required.
