Corporate Paralegal Cores II

Are you interested in working at a leading law firm? Our client is looking for a Corporate Paralegal with CORES II to join their Calgary office.

Working within a team environment, the successful candidate will be responsible to provide daily paralegal support to the various departments of the firm. These duties will include drafting and preparing documents and composing annual work. Our ideal candidate will possess intermediate level corporate paralegal experience, a very solid knowledge of corporate law and procedures and comprehensive knowledge of preparing and drafting of a variety of corporate documents including societies and not for profit corporations.


  • Preparing Alberta and Federal incorporations including pre- and post-documentation filing annual returns for Alberta and extra-provincial corporations;
  • Initiates the organization of and manages files or parts of a file relating to amalgamations, re-organizations, acquisitions, continuances, private placements, take-overs, public offerings, joint ventures, formation of partnerships, etc.;
  • Analyzes and prepares required principal and ancillary documents using precedents, statutes, and other research materials;
  • Participates in the due diligence process by reviewing minute books and minor contracts, identifying deficiencies and material matters, prepares report and recommends manner of rectifying, prepares any necessary documents required to comply with governing statutes and rectifying any deficiencies;
  • Conducting necessary corporate searches;
  • Assists internal and external client in the procedure for appointing officers, electing directors as well as executing documents and replying to client inquiries;
  • Researches, prepares, and revises precedents and technical procedures checklists to ensure compliance with current legislation;
  • Maintains up-to-date client accounts by recording billable time and tracking fees and disbursements; and
  • Other duties as assigned.


  • Recognized Legal Assistant diploma or equivalent combined with a minimum of 4 years of experience in a paralegal role;
  • CORES level II is required;
  • Knowledge of laws/legislation relevant to the practice area, legal terminology, forms and documents related to the corporate practice;
  • Knowledge of ALF, SEDAR and other applicable sources;
  • Must be results oriented and demonstrate exceptional time management, organizational and follow up skills;
  • Excellent research and analytical skills, good judgment, high level of accuracy and strong attention to detail;
  • Capacity to manage many files simultaneously
  • Working within Corporate Department Team, Lawyers and Legal Assistant Members managing daily corporate transactions, including requests for searches and registrations
  • Ability to manage deadlines with independence and confidence in a pro-active manner, including preparation and drafting of corporate documents for incorporations, amalgamations, amendments, reorganizations, rollovers and extra-provincial registrations and updates
  • Must be able to work independently, as well as within a team environment
